尊敬的各位商家：

针对现阶段 NAMU LIFE 旗下 SNAILWHITE 白蜗牛系列产品市场销售价格 以及代理商批发价格混乱事宜，泰国总公司将推行相关制度及采取相应措施,中国区分公司娜姆生活将协助总部进行管控,望各商家予以配合及执行。

目的：

1. 统一产品价格体系,规范化销售,维护品牌形象,确保商家利益,长期稳固 发展；

2. 建立健康的代理商/分销商价格体系,严格执行,确保长期健康的合作关系；

相关制度如下：

1. 公司将给出《产品销售价格标准》(建议零售价及最低零售价)，所有代理商 /分销商其全部销售渠道必须统一产品标价及不得低于最低零售价进行销售 (最低零售价是指包含活动促销部分,单品核算实际售价),要求严格执行；

2. 公司将给出《代理商/分销商供货价格体系表》，所有代理商/分销商的供货 批发价格不得低亍其相对应级别要求的最低限价,要求严格执行；

3. 具体执行日期为 2015 年 7 月 6 日，全部商家必须于该日期起统一按照《产 品销售价格标准》及《代理商/分销商供货价格体系表》要求执行。

4. 公司会通过官网 www.namulifechina.cn 、官方”NAMULIFECHINA”微信等渠道进行通知的发布,同时会采取电话、微信、旺旺等形式进行沟通。

相应措施及流程如下：

已获得 2015 授权的商家(泰国总部直接授予以及中国区分公司授予)的授 权书已经可以登陆官网 www.namulifechina.cn 招商加盟部分进行查询：

1. 在接收到“关亍代理商/分销商执行统一价格的通知” 3个工作日内,须给予回复；

2. 如需详细了解相关政策或存有异议，请亍接收到通知日起3个工作日内进沟通，如未在时限内提出,均视为将如期执行调价动作；

3. 根据公司要求如期进行价格调整的商家，可以自行选择继续从原有的正规进 货渠道进货,或者从中国区公司直接进货。两种进货方式,其零售价格及批 发价格均须按照公司制定的价格体系执行，中国区公司将协助泰国总部对中国区的所有销售行为进行监控及管理；

4. 如在 2015 年 7 月 9 日前没有进行价格调整的商家，公司在进行二次沟通后3个工作日内，仍未按照公司要求进行价格调整的商家，已有授权将被取消,，并停止继续供货(泰国渠道进货的商家将转交泰国总部按照相同流程进行沟 通处理)。
